Acer S7 Select Rules

1. Eligibility: Acer S7 Select Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least thirteen (13) years old at the time of entry. Employees of Acer America Corporation, ("Acer"), BBFM, Inc. d/b/a Radarworks ("Radarworks"), Adobe Systems Incorporated ("Adobe Systems"), Movement Strategy LLC ("Movement Strategy"), ePrize, Inc. ("ePrize"), and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes entrant’s (and parents’/legal guardians’, if entrant is a minor) full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing: The Sweepstakes begins on November 21, 2012 at 2:00 p.m. Central Time ("CT"), ends on December 31, 2012 at 11:59 p.m. CT (the "Promotion Period") and consists of forty-one (41) daily entry periods (each a "Daily Entry Period"). Each Daily Entry Period will run for the duration of the applicable calendar day, starts at 12:00 a.m. CT and ends at 11:59 p.m. CT, with the exception of the First Daily Entry Period (November 21, 2012) which will start at 2:00 p.m. CT and end at 11:59 pm CT. Daily Entry Period drawings will occur in batches, as outlined in the chart below.

4. How to Enter: During the Promotion Period, you can access the Sweepstakes from links featured on the Acer Facebook page (http://www.facebook.com/AcerUSA). In order to participate in the Sweepstakes you will be required to allow Sponsor, Movement Strategy and Adobe Systems to access your basic profile information and other content in order to participate. After you authorize the Sponsor, Movement Strategy and Adobe Systems to access your basic profile information follow the links and instructions to select seven and tag seven of your friends that match the attributes displayed on the screen. You will also have the option to “tag” friends which is not required for entry. You can then confirm your friends will receive notifications from the Acer S7 Select application or “cancel” and proceed to the sweepstakes entry form. If you don’t already "like" the Acer page, you must first click on the "like" button in order to receive a Sweepstakes entry. You must complete and submit the registration form including your first and last name, and email address. Upon submitting your entry form, your friends will receive a notification informing them to visit the Sweepstakes application in order to confirm whether or not he/she will allow the tag(s). If all seven of your friends have confirmed the tag then an image will be posted to your wall if you select the “allow posting” option when you create your “S7 Select” image. Once you complete and submit the registration form, you automatically will receive one (1) Sweepstakes entry into the applicable Daily Entry Period's drawing.

Limit: You may enter one (1) time per day during the Promotion Period. Multiple entrants are not permitted to share the same email address or Facebook account. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, Facebook accounts, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

5. Drawings: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. Administrator will randomly select the forty-one (41) potential winners (one (1) per Daily Entry Period) on or around the dates outlined in the chart in Section 3 above, from all eligible entries received during each applicable Daily Entry Period. Non-winning entries from each applicable Daily Entry Period's drawing will not carry over into the subsequent Daily Entry Period drawings. The potential winners will be notified by email after the applicable drawing date. Except where prohibited, each potential winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return a Declaration of Compliance, Liability and Publicity Release ("Declaration") (where legal) which must be received by Administrator, within seven (7) calendar days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration within the required time period (if applicable), or notice or prize is returned as undeliverable, the potential winner forfeits his/her prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries received for the applicable Daily Entry Period. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Prizes will be fulfilled approximately 6-8 weeks after the conclusion of the Sweepstakes.

6. Prizes: FORTY-ONE (41) PRIZES (one (1) per Daily Entry Period): An Acer® Aspire S7 Ultrabook™ computer. Approximate Retail Value (“ARV”): $1,650. For All Prizes: The ARV of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. If the actual purchase price of the prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference. Prize is awarded “as is.” Any and all warranties and/or guarantees on the prize (if any) shall be subject to the manufacturer’s terms. Winner agrees to look solely to such manufacturer for any such warranty and/or guarantee. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the applicable Daily Entry Period. Limit: one (1) prize per person.

7. Release: By participating in the Sweepstakes, entrants (and parents/legal guardians, if entrant is a minor) agree to release and hold harmless Sponsor, Radarworks, Adobe Systems, Movement Strategy, Administrator, Facebook, Inc., and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss to persons or property, arising out of entry creation, participation in the Sweepstakes or receipt or use or misuse of any prize.

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

11. Disputes: To the fullest extent provided by law, all disputes arising out of the Sweepstakes must be resolved exclusively and finally by binding single-arbitrator arbitration administered by the American Arbitration Association (AAA) and conducted in accordance with the AAA’s Supplementary Procedures for Consumer-Related Disputes of the Commercial Arbitration Rules and the Consumer Due Process Protocol. YOUR RIGHTS WILL THEREFORE BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY AND RIGHTS TO JURY TRIAL ARE SPECIFICALLY WAIVED. You and the party(ies) you name in the dispute (Acer, Radarworks, Adobe Systems, Movement Strategy and/or ePrize) will agree on another arbitration forum, as well as procedures under which the arbitration will be conducted, if AAA ceases operations or is otherwise unable or unwilling to arbitrate the dispute. The arbitration, or any portion of it, will not be consolidated with any other arbitration and will not be conducted on a class-wide or class-action basis. The arbitration shall be held at any reasonable location near your residence by submission of documents, by telephone, online or in person, whichever method of presentation you choose. If you prevail in the arbitration you will be reimbursed for any fees you paid to AAA in connection with the arbitration. Any decision rendered in such arbitration proceedings will be final and binding on the parties, and judgment may be entered thereon in any court of competent jurisdiction. You understand that, in the absence of this provision, you would have had a right to litigate Disputes through a court, including the right, if any, and subject to the rules of your jurisdiction, to litigate claims on a class-wide or class-action basis, and that by entering this Sweepstakes you have expressly and knowingly waived those rights and agreed to resolve any disputes in accordance with the provisions of this section. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
